Chain Bridge Bank, N.A. E-Sign Disclosure and Consent
Please read this E-Sign Disclosure and Consent (this “E-Sign Consent”) carefully before you agree to it. Depending on the platform through which you apply for or obtain an account, product, or service, you may be asked to indicate your consent by selecting “I Agree,” by checking an acknowledgment box, by selecting an acceptance button, or by signing electronically. Each of these actions is your electronic signature. By taking any of them, you consent to receive records and to provide your signature electronically in connection with your relationship with Chain Bridge Bank, N.A. (the “Bank,” “we,” “us,” or “our”). The words “you” and “your” refer to each person, business, trust, or other entity that agrees to this E-Sign Consent.
1. Consent to Electronic Records and Signatures
By indicating your consent in any of the ways described above, you agree to the following:
- The Bank may provide all disclosures, agreements, statements, notices, and other communications (“Communications”) to you electronically.
- Your electronic signature has the same legal effect as your handwritten signature.
2. Scope of Consent
In this E-Sign Consent, “Online Banking” means the Bank’s online banking platforms for both consumer and business customers, and “Mobile Banking” means the Bank’s mobile banking applications for both consumer and business customers. The Bank may change the platforms and applications it uses for Online Banking and Mobile Banking from time to time, in which case the defined terms refer to the platforms and applications then in effect. Banno is the Bank’s current platform for consumer customers, providing both Online Banking and Mobile Banking. Treasury Management is the Bank’s current platform for business customers, providing both Online Banking and Mobile Banking.
Your consent applies to conducting transactions electronically with the Bank and to receiving electronically all Communications from the Bank in connection with your relationship with the Bank. These Communications include change-in-terms notices, disclosures, periodic statements, privacy notices, tax forms, billing statements, and any other documents the Bank provides or makes available to you in connection with any account, product, or service you maintain or obtain with the Bank. Your consent also applies to accounts, products, or services for which you apply with the Bank (whether or not the application is approved or the account is opened), as well as any account, product, or service you administer with the Bank as a Program Administrator, authorized signer, or other authorized representative. This E-Sign Consent applies to all of your current and future accounts, products, and services with the Bank. Without limiting the foregoing, your consent covers Communications relating to:
- Deposit accounts, including consumer and business checking, savings, money market, and certificate of deposit accounts.
- Loan accounts and lines of credit, including consumer loans, commercial loans, mortgage loans, and credit card accounts.
- Online Banking and Mobile Banking services, including payment services such as wire transfers, ACH origination, Remote Deposit Capture, Image Cash Letter, Zelle®, FedNow®, and other electronic payment services.
- Deposit accounts and loan accounts opened by a trustee in the name of a trust, whether or not the trust is administered by the Bank’s Trust & Wealth Department.
- Communications directed to the account holder, principal, agent, trustee, co-trustee, or other authorized representative of a trust, custody, investment management, or other account administered by the Bank’s Trust & Wealth Department, including accounts for which the Bank serves as trustee, co-trustee, executor, administrator, custodian, agent, or investment manager.
- Consumer regulatory disclosures, including disclosures required under Regulation E (electronic fund transfers), Regulation DD (Truth in Savings), Regulation CC (funds availability), Regulation Z (Truth in Lending), and Regulation P (privacy).
- Account and loan statements, billing statements, tax forms, amendments, and change-in-terms notices.
If you maintain a trust, custody, investment management, or other account with the Trust & Wealth Department in addition to a deposit account or loan account covered by this E-Sign Consent, this E-Sign Consent governs electronic communications with you as the account holder, principal, agent, trustee, or other authorized representative of the Trust & Wealth account and as holder of the deposit account or loan account.
3. Your Right to Receive Paper and to Request Paper Copies
Unless you consent to electronic delivery, you have the right to receive all required Communications in paper or other nonelectronic form. The Bank opens accounts in person at its headquarters at 1445-A Laughlin Avenue, McLean, Virginia 22101-5737, and you may decline electronic consent and continue to receive paper Communications. The Bank also works with relationship officers by telephone, email, and video conference to open accounts remotely; you may decline electronic consent in those workflows as well.
If you want a paper copy of any Communication the Bank has provided to you electronically, you may obtain one free of charge by contacting the Bank by telephone at (703) 748-2005, by email at clientservice@chainbridgebank.com, by mail at 1445-A Laughlin Avenue, McLean, Virginia 22101-5737, or in person at the Bank’s headquarters in McLean, Virginia. You may also keep the Communications the Bank provides to you electronically. Electronic Communications can be viewed, downloaded, saved, and printed using the hardware and software described in Section 5, and you may retain them for your records.
4. Methods of Delivery
The Bank may provide Communications to you electronically by any of the following methods:
- Secure message within Online Banking or Mobile Banking.
- Posting to a Bank website or mobile application that the Bank designates for that purpose.
- Email to the email address you have provided to the Bank.
- An electronic signature envelope (such as DocuSign), an online application or loan origination platform, a mortgage document platform, or another industry-standard electronic delivery format the Bank uses for electronic signature and document workflows.
- Downloadable PDF or other industry-standard electronic format.
You do not need an Online Banking or Mobile Banking relationship to receive Communications by email, through an electronic signature or application platform, or as a downloadable PDF.
5. Hardware and Software Requirements
To receive, view, and retain Communications from the Bank electronically, you need a computer, tablet, or mobile device with a current, supported operating system; a current, supported internet browser; a connection to the internet; a valid email account that can receive messages and open attachments; and the ability to view, save, and print documents in PDF format using a current PDF reader. You should have a web browser that meets current minimum system requirements, which include the use of an up-to-date browser supporting Transport Layer Security (TLS) version 1.2 or higher, with TLS 1.3 strongly recommended, and the strongest commercially available encryption supported by our systems. If you use Online Banking, Mobile Banking, or certain other digital services, additional system requirements apply. On your request, the Bank will provide these requirements to you in paper or electronic form. If the Bank’s minimum hardware or software requirements change in a way that creates a material risk that you will not be able to access or retain a subsequent electronic record, the Bank will notify you by paper, by other nonelectronic communication, or by one of the electronic methods described in Section 4, and you will have the right to withdraw your consent without fee or penalty.
6. Updating Your Contact Information
You agree to provide the Bank with the information the Bank needs to communicate with you electronically and to update the Bank promptly when that information changes. The information the Bank needs is a current email address, mobile telephone number, and mailing address. You may update your contact information through Online Banking or Mobile Banking, by contacting the Bank by telephone at (703) 748-2005, by email at clientservice@chainbridgebank.com, by mail at 1445-A Laughlin Avenue, McLean, Virginia 22101-5737, or in person at the Bank’s headquarters in McLean, Virginia. If Communications sent to the email address you have provided are returned undeliverable and you do not provide a corrected email address after the Bank attempts to notify you using other contact information you have provided, the Bank may resume paper delivery and treat your consent as withdrawn as described in Section 7.
7. Withdrawing Your Consent
You may withdraw your consent to receive Communications electronically at any time, without fee or penalty, by notifying the Bank using any of the contact methods listed in Section 6 of this E-Sign Consent. A withdrawal of consent takes effect within a reasonable period of time after the Bank receives it. Your withdrawal of consent does not affect the validity or enforceability of any electronic Communications, electronic signatures, or transactions that occurred before the withdrawal took effect. If you withdraw your consent, the Bank will provide subsequent Communications in paper or other nonelectronic form, and processing of certain transactions may take longer.
8. How You May Give the Bank Notice
The Bank reserves the right to provide any Communication to you in a paper or other nonelectronic form. Except as otherwise provided by applicable law, by this E-Sign Consent, or by another agreement between you and the Bank, you may give the Bank notices regarding your accounts electronically through Online Banking or Mobile Banking secure messaging, by email at clientservice@chainbridgebank.com, or through the Bank’s website at chainbridgebank.com.
Certain notices affect the timing of your rights and your liability, so the Bank must be able to act on them promptly. You may give the following notices to the Bank orally or in writing:
- Notices of unauthorized electronic fund transfers or unauthorized access to your account under Regulation E, 12 C.F.R. § 1005.6, including notices that affect the timing of your liability for unauthorized transfers.
- Notices of identity theft, suspected fraud, lost or stolen access devices, lost or stolen cards, or compromised credentials.
- Any other notice that this E-Sign Consent, the applicable account agreement, or applicable law specifically requires be given in a particular form.
You may give these notices by telephone at (703) 748-2005, in person at the Bank’s headquarters in McLean, Virginia, or in writing by mail at 1445-A Laughlin Avenue, McLean, Virginia 22101-5737. Because prompt notice protects your rights, the Bank recommends that you call as soon as you can.
9. Online Banking and Mobile Banking
The Bank offers Online Banking and Mobile Banking as channels for delivering the electronic Communications you consent to receive under this E-Sign Consent. An Online Banking or Mobile Banking relationship is not required for this consent to take effect. The Bank may deliver Communications to you by any of the methods described in Section 4, including email, an electronic signature or application platform, or a downloadable PDF, whether or not you maintain an Online Banking or Mobile Banking relationship.
If you use Online Banking or Mobile Banking, the Bank provides those services through the platform that applies to your customer type (consumer or business). Business customers include commercial entities and trustees opening accounts in the name of a trust. If you are an individual trustee and also maintain a personal consumer account with the Bank, the Bank will assign you to the platform that applies to each account type. The Bank will enroll you in Online Banking or Mobile Banking on your request, subject to the Bank’s applicable platform agreements and procedures.
10. Duration of This Consent
This E-Sign Consent will remain in effect until (a) you withdraw your consent using one of the methods described in Section 7, (b) your account or relationship with the Bank is closed and all Communications relating to it have concluded, or (c) applicable law requires the Bank to obtain a new consent from you.
11. Consumers and Businesses
Consumers
If you are a consumer (an individual obtaining accounts, products, or services from the Bank primarily for personal, family, or household purposes), this E-Sign Consent is intended to satisfy the consumer disclosure and consent provisions (Section 101(c), 15 U.S.C. § 7001(c)) of the federal Electronic Signatures in Global and National Commerce Act, 15 U.S.C. § 7001 (the “E-SIGN Act”). By indicating your consent to this E-Sign Consent in any of the ways described above, you affirmatively consent to receive Communications electronically from the Bank, you confirm your ability to access and retain electronic records as described in Section 5, and you acknowledge your right to withdraw consent at any time as described in Section 7.
Businesses, Trusts, and Other Entities
If you are a business, trust, fiduciary, or other entity, or if you are signing on behalf of any of the foregoing, you agree that electronic records and electronic signatures are valid and binding on you and on the entity for which you sign. You waive the consumer-specific protections of Section 101(c) of the E-SIGN Act, 15 U.S.C. § 7001(c). Those protections, which apply to consumers but not to businesses or other entities, are: (a) the requirement that you affirmatively consent to electronic delivery and reasonably demonstrate that you can access the electronic records; (b) the requirement that the Bank disclose, before you consent, your right to receive Communications on paper, your right to withdraw consent, and any conditions, consequences, or fees that apply to withdrawal; (c) the requirement that the Bank disclose the hardware and software you need to access and retain electronic records; and (d) the requirement that, if those hardware or software requirements change in a way that creates a material risk you cannot access or retain Communications, the Bank provide a revised disclosure and an opportunity to withdraw consent without fee or penalty. This E-Sign Consent governs the Bank’s electronic Communications with your business, trust, fiduciary, or other entity in the same manner as it governs the Bank’s electronic Communications with a consumer, except as to the consumer-specific provisions identified above.
12. Federal Law and Legal Effect
You agree, and the Bank and you both intend, that the E-SIGN Act applies to this E-Sign Consent, to your account agreements and Bank service agreements, and to the Bank’s ability to conduct business with you by electronic means. All Communications that the Bank provides to you in electronic or paper format under this E-Sign Consent are considered “in writing” and have the same legal effect as if they had been provided in paper form. Your electronic signature has the same legal effect as your handwritten signature.
13. Identity Verification and Biometric Information
Before you can open and sign certain documents, the Bank requires you to verify your identity through DocuSign. You may verify by submitting an image of a government-issued identification document together with a short video of your face, or by signing in to an identity service you already use, such as CLEAR or ID.me.
However you verify, the check involves collecting images of your identity document and biometric information, which may include a scan of facial geometry, and comparing them to confirm you are the person identified on the document. DocuSign and the verification partner you select will ask for your consent before the check begins.
The Bank and DocuSign collect this information only to verify your identity in connection with your electronic signature, and for no other purpose. It is not sold, leased, traded, or otherwise disclosed for profit, and it is not used to train artificial intelligence systems.
The Bank does not store your document images or your video. Information extracted from your document is retained by the Bank in accordance with its record retention practices. If you verify using an identification document, DocuSign’s verification provider holds your document images and video for 90 days and then deletes them, and that period is fixed and cannot be shortened. If you verify through CLEAR or ID.me, that service retains your information under its own privacy policy and terms.
By accepting this E-Sign Consent you agree to that collection, use, storage, and disclosure. If you do not wish to verify your identity in any of these ways, do not complete the check. Contact the Bank at (703) 748-2005 and we will arrange another way for you to sign.
14. Conflicts with Other Agreements
In the event of any direct conflict between this E-Sign Consent and any other agreement between you and the Bank, the document that is more protective of your right to receive a paper or other nonelectronic Communication controls.
15. Acknowledgment and Consent
By indicating your consent to this E-Sign Consent electronically, whether by selecting “I Agree,” checking an acknowledgment box, selecting an acceptance button, or signing electronically, you confirm each of the following:
- You can access and read this E-Sign Consent.
- You can print, save, or send this E-Sign Consent to a location where you can print or save it for future reference and access.
- You have provided the Bank with a valid email address, mobile telephone number, and mailing address at which the Bank may communicate with you.
- You have access to hardware and software that satisfy the requirements described in Section 5.
- You consent to the use of electronic records and electronic signatures as described in this E-Sign Consent.
- You consent to receive electronically all Communications that the Bank is required or permitted to provide or make available to you in connection with your relationship with the Bank.
- You consent to the identity verification check, and to the collection, use, storage, and disclosure of your information, described in Section 13.
- You may withdraw this consent at any time without fee or penalty by any of the contact methods listed in Section 6, as described in Section 7.
16. How Your Consent Is Recorded
Your consent to this E-Sign Consent is given and recorded electronically. The manner in which it is recorded depends on the platform through which this E-Sign Consent is presented to you:
- If you receive this E-Sign Consent through an online application or loan origination platform, your consent is recorded by that platform when you select “I Agree,” check the acknowledgment box, or select the acceptance button presented with this E-Sign Consent.
- If this E-Sign Consent is presented to you as the electronic record and signature disclosure within an electronic signature platform, your consent is recorded when you confirm your agreement to use electronic records and signatures and proceed.
- If this E-Sign Consent is included as a document within an electronic signature envelope, your consent is recorded when you complete the acknowledgment and signature fields the platform presents with this E-Sign Consent.
In each case, the platform’s record of your action, together with the Bank’s records, is the record of your consent. No handwritten signature, and no signature on this E-Sign Consent itself, is required.
